These Terms & Conditions (“Terms”) govern your use of the website at vertexvalleyautomation.cloud (the “Site”), operated by Vertex Valley Automation LLC (“Vertex Valley,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. About our services
Vertex Valley is an automation studio serving small businesses in the Treasure Valley, Idaho. The Site describes our services and lets you request a free automation audit. The Site itself is informational; any work we perform for you is governed by a separate written agreement between us and you. Nothing on the Site is a binding offer or a guarantee of any specific result.
2. Use of the Site
You agree to use the Site only for lawful purposes. You will not:
- Use the Site in any way that violates applicable law or regulation
- Attempt to gain unauthorized access to the Site, our servers, or any connected systems
- Interfere with or disrupt the Site’s operation or security
- Submit false, misleading, or malicious information through our forms
- Use automated means to scrape, copy, or misuse the Site or its content
3. Form submissions and communications
When you submit our contact form, you confirm that the information you provide is accurate and that you have the right to share it. Submitting the form does not create a client relationship or guarantee a response, a project, or any particular timeline. Your submissions are handled in accordance with our Privacy Policy.

The Site and its content — including text, graphics, logos, the Vertex Valley name and mark, layout, and code — are owned by Vertex Valley or its licensors and are protected by intellectual-property laws. The Site may reference or rely on third-party tools and services (for example, hosting providers and Google Workspace). We are not responsible for the content, policies, or practices of any third party. Your use of a third party’s services is subject to that party’s own terms.
6. Disclaimer of warranties
The Site is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any information on it is complete or current.
7. Limitation of liability
To the fullest extent permitted by law, Vertex Valley and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of (or inability to use) the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars ($100).
8. Indemnification
You agree to indemnify and hold harmless Vertex Valley and its owners from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your misuse of the Site or your violation of these Terms.
9. Changes to the Site and these Terms
We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms from time to time; when we do, we will revise the “Last updated” date above. Your continued use of the Site after changes take effect means you accept the revised Terms.
10. SMS / text messaging terms
These SMS terms apply if you opt in to receive text messages from Vertex Valley Automation LLC, including through our text-message opt-in form. By opting in, you agree to the following:
- Program. Vertex Valley Automation LLC sends recurring automated text messages related to your interaction with us — free-audit scheduling and follow-ups, appointment reminders, and service or account notifications.
- Consent. You agree to receive these messages at the mobile number you provide, and you confirm you are the account holder or have authorization to use that number. Consent is not a condition of any purchase.
- Message frequency. Message frequency varies based on your interaction with us.
- Cost. Message and data rates may apply, according to your mobile plan. Contact your wireless provider for details.
- Opt in. You can opt in by submitting our text-message opt-in form or by texting START to our messaging number. Texting START confirms your consent to receive (or resume receiving) messages from us.
- Opt out. You can cancel at any time by replying STOP to any message. After you send STOP, we will send one confirmation message and then stop sending texts. To opt back in, submit the opt-in form again or reply START.
- Help. Reply HELP for help, or email zane@vertexvalleyautomation.cloud.
- Carriers. Carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission by your wireless carrier and is not guaranteed.
- Privacy. Mobile opt-in information and consent are never shared with third parties or affiliates for their marketing purposes. See our Privacy Policy.
11. Governing law
These Terms are governed by the laws of the State of Idaho, USA, without regard to its conflict-of-laws rules. Any dispute relating to the Site or these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Idaho.
